Welcome to MyClinic (“MyClinic,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our cloud-based clinic management software, websites, mobile experiences, dashboards, APIs, and any related services (together, the “Service”). By creating an account, signing in, clicking a button to accept these Terms, or using the Service in any way, you agree to be bound by these Terms. If you are accepting on behalf of a clinic, company, or other entity, you confirm that you have authority to bind that entity, and “you” refers to that entity.
1. The Service
MyClinic is a software-as-a-service platform for healthcare clinics and the people who run them. It provides tools for patient records, scheduling, prescriptions, reception workflows, billing, lead management, marketing analytics, internal communication, and similar clinic operations. We are a software vendor: we do not provide medical advice, do not practise medicine, and do not diagnose or treat patients.
2. Eligibility & account
- You must be at least 18 years old and legally capable of entering a contract.
- You must provide accurate registration information and keep it up to date.
- You are responsible for everything that happens under your account, including the actions of staff, doctors, receptionists, and any third party you give credentials to. Keep passwords confidential and enable available security features.

3. Subscriptions, billing & trials
- The Service is offered on a subscription basis. Plans, prices, and features are described on our website or in your order form and may be updated from time to time.
- Fees are charged in advance for the selected billing cycle (monthly or annual) and are non-refundable except where required by law or expressly stated by us in writing.
- We may offer free trials. At the end of a trial, your account converts to a paid plan unless you cancel before the trial ends.
- Subscriptions automatically renew for successive periods of equal length unless you cancel before the renewal date.
- We may change pricing with at least thirty (30) days’ notice before your next renewal. Continued use after the change takes effect constitutes acceptance.
- Late or failed payments may result in suspension or termination of the Service. Reactivation may require settlement of outstanding balances.
4. Your data & the role of MyClinic
You and your clinic remain the controller of the patient and clinical information you enter into the Service (“Customer Data”). MyClinic acts as a data processor on your instructions, in line with applicable data protection law and our Privacy Policy.
- You grant us a limited licence to host, copy, transmit, display, back up, and process Customer Data only as necessary to provide and improve the Service.
- You are responsible for the lawfulness of Customer Data, the basis on which it was collected, and for obtaining any required patient consents.

5. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, or harmful purpose.
- Upload content that infringes intellectual property, privacy, or publicity rights, or that is defamatory, obscene, or hateful.
- Send unsolicited marketing or messaging that violates anti-spam or telemarketing laws (including via our WhatsApp, email, or SMS integrations).
- Reverse engineer, decompile, or attempt to extract source code, except to the extent permitted by mandatory law.
- Interfere with the integrity or performance of the Service, probe for vulnerabilities without written permission, or circumvent security and rate limits.
- Resell, sublicense, or provide the Service as a managed offering to third parties without our prior written consent.
- Use the Service to build a competing product, or to train machine-learning models on Customer Data that does not belong to you.
6. Medical disclaimer
The Service is a workflow tool. It does not constitute medical advice and is not a substitute for the judgement of a qualified clinician. Any clinical decision support, suggestions, templates, or AI-generated text in the Service is provided as-is for the convenience of licensed professionals; you are solely responsible for verifying its accuracy and for the care you provide to patients.
7. Third-party services
The Service may integrate with third-party services such as payment gateways, messaging providers, advertising networks, and analytics platforms. Your use of those services is governed by their own terms and privacy policies; we are not responsible for them.
8. Intellectual property
We and our licensors own all rights in the Service, including software, designs, trademarks, and documentation. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during the term of your subscription, in line with these Terms. All rights not expressly granted are reserved.
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, irrevocable licence to use them without restriction.
9. Confidentiality
Each party will protect the other’s non-public business information with the same care it uses for its own confidential information, and at minimum a reasonable standard of care. Confidentiality obligations do not apply to information that is public, independently developed, or required to be disclosed by law.
10. Service availability & support
We work to keep the Service available and secure, but we do not guarantee it will be uninterrupted or error-free. We may schedule maintenance windows, deploy updates, and modify features. Where we offer a Service Level Agreement, the terms of that SLA control over this section.

Except as expressly stated in these Terms, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of results. We do not warrant that the Service will meet your requirements, that data will not be lost, or that defects will be corrected.
13. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption, even if advised of the possibility. Our aggregate liability arising out of or related to the Service in any twelve-month period is limited to the fees you paid us for the Service in that period.
Some jurisdictions do not allow these limitations, in which case they apply only to the extent permitted by local law.
14. Indemnity
You agree to defend, indemnify, and hold harmless MyClinic and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of (a) your use of the Service, (b) your Customer Data, (c) your breach of these Terms, or (d) your violation of any law or third-party right.
15. Changes to these Terms
We may update these Terms to reflect changes in the Service, our business, or applicable law. When we make material changes we will notify you by email, in-app notice, or by posting the updated Terms with a new effective date. If you continue using the Service after the changes take effect, you accept the updated Terms.
16. Governing law & disputes
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to its conflict-of-laws rules. Any dispute arising out of or related to these Terms or the Service will be brought exclusively before the competent courts of Cairo, Egypt, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
17. Miscellaneous
- If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
- Our failure to enforce any provision is not a waiver of our right to do so later.
- You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- These Terms, together with our Privacy Policy and any order form, are the entire agreement between you and us regarding the Service.
